1. Affiliate Responsibilities
1.1 The Affiliate is authorised to promote SMW.club products and services using the approved marketing materials provided by The Company.
1.2 Cross-selling or promoting other products or services through the SMW.club network is strictly forbidden. Violation of this clause will result in immediate termination of this Agreement.
1.3 Affiliates must not engage in any activity that could damage the reputation of SMW.club, including but not limited to deceptive marketing practices, spam, or misrepresentation of the brand.
1.4 Affiliates shall comply with all applicable laws and regulations in the jurisdiction where promotions are conducted.
2. Termination
2.1 Either party may terminate this Agreement immediately, with or without cause, by providing written notice to the other party.
2.2 Upon termination, the Affiliate must immediately cease all promotional activities related to SMW.club and remove any promotional materials from their platforms.
2.3 Termination of this Agreement does not grant either party any claims or recourse against the other.
3. Prohibited Activities
3.1 The use of SMW.club’s affiliate network to promote products or services unrelated to SMW.club is prohibited.
3.2 Affiliates are discouraged from cross-selling other brands or products to SMW.club clients or prospects within the network.
3.3 Affiliates are not permitted to bid on SMW.club-related keywords in search engine marketing campaigns or use SMW.club branding without explicit written consent.
4. Commission and Payment
4.1 Affiliates will earn commissions based on successful referrals as outlined in the affiliate commission structure provided separately.
4.2 Payments will be made twice a month, on the 15th and 30th of each month, provided the Affiliate has met the minimum payout threshold of [Insert Amount].
4.3 The Company reserves the right to withhold payments if there is evidence of fraudulent or prohibited activities.
5. Confidentiality
5.1 Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared during the course of this Agreement.
5.2 Affiliates are prohibited from disclosing their earnings, affiliate terms, or other proprietary details without the written consent of SMW.club.
6. Intellectual Property
6.1 SMW.club retains ownership of all trademarks, logos, and promotional materials. Affiliates are granted a limited, non-exclusive, and revocable license to use these materials for the sole purpose of promoting SMW.club.
6.2 Unauthorised modification or distribution of SMW.club intellectual property is strictly prohibited.
7. Limitation of Liability
7.1 SMW.club shall not be liable for any indirect, incidental, or consequential damages arising from the Affiliate’s participation in the program.
7.2 The Company reserves the right to modify or discontinue the Affiliate Program at any time without liability to the Affiliate.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction].
9. Amendments
SMW.club reserves the right to update or modify these terms at any time. Affiliates will be notified of any significant changes, and continued participation in the program constitutes acceptance of the updated terms.
